Agilyx: Majority Stake in GreenDot Global

Agilyx ASA is increasing its stake in GreenDot Global S.à r.l. to 50.1 percent. The move is based on an agreement for Agilyx and Lafor to jointly acquire the 19.1 percent stake previously held by Circular Resources. Once the transaction is completed, Agilyx’s shareholding will rise from 46.0 to 50.1 percent. Lafor will hold 49.9 percent, up from 34.9 percent previously.

By crossing the 50 percent threshold, Agilyx will be able to fully consolidate GreenDot in its group financial statements going forward. Consolidation is expected to begin once the transaction has been completed. For 2026, GreenDot is expected to generate revenue of around EUR 375 million and EBITDA of more than EUR 22 million.

GreenDot operates as a European platform focused on sourcing, sorting, and supplying plastic waste for recycling. As part of the new ownership structure, Ranjeet Bhatia, CEO of Agilyx, will assume the chairmanship of GreenDot.

To finance the acquisition of the additional 4.1 percent stake, Agilyx has arranged a share purchase financing facility of EUR 4.7 million. The facility carries an interest rate of 7 percent and has an expected term of around six months. According to the company, this allows the purchase to be completed without placing short-term pressure on Agilyx’s liquidity.

The company also stated that the transaction has received the required approval from two-thirds of the voting holders of Agilyx’s subordinated convertible bond 2025/2028, which has a volume of EUR 40 million. Dispatch of the written resolution and completion of the transaction are both expected later today.

Agilyx ASA is a listed company in the plastics recycling sector. It is active in both mechanical and chemical recycling and also pursues technological development initiatives. In Europe, Agilyx is active through its stake in GreenDot, while in the United States it operates through strategic business agreements and technology deployments.
