Grupa Azoty has signed an annex to the Memorandum of Understanding (MoU) dated 1 August 2025 with Grupa Azoty Police, Grupa Azoty Polyolefins and Orlen, expanding the scope of ongoing negotiations. The amendment includes an analysis of the potential sale of all or part of Grupa Azoty Polyolefins shares held by Grupa Azoty and Grupa Azoty Police. According to Grupa Azoty President Andrzej Skolmowski, the expansion of the cooperation framework enables consideration of a broader transaction structure that may support the financial stability of Grupa Azoty Polyolefins and facilitate completion of the Polimery Police project. The initial MoU focused on exploring a possible sale of selected logistics assets linked to Grupa Azoty Polyolefins and the Port of Police Authority, with Orlen identified as a potential buyer within an open and transparent process. The newly signed annex extends the negotiations to include equity in Grupa Azoty Polyolefins. Under the amendment, the parties will resume discussions that were suspended in July 2025. The MoU remains non-binding and does not oblige any party to enter into a transaction or submit a binding offer. Completion of any potential deal would require approvals from financing institutions, minority shareholders, relevant regulatory authorities, and corporate bodies, as well as the release of security interests on related assets. The duration of the MoU remains unchanged, with cooperation between the parties scheduled to continue until 31 December 2025.
