Orlen: Acquisition of a butadiene plant from Synthos in Poland

The Polish chemical group Synthos is selling its butadiene plant, which is currently under construction in Płock, to the oil and petrochemical group Orlen.

According to press releases from both companies, a corresponding agreement was signed in December. Accordingly, Orlen is acquiring all shares in the project company S54 from Synthos for approximately 692 million PLN (164 million EUR). The completion of the transaction is scheduled for the end of June this year. Furthermore, several accompanying agreements have regulated the future cooperation between Orlen and Synthos.

The new plant for butadiene extraction is to be fully integrated into Orlen's value chain at the Płock site and will process the entire C4 fraction in the future. However, no specific details regarding the plant's capacity are available yet.

The acquisition of the butadiene plant from Synthos is taking place as part of the realignment of the Olefins III expansion project, which Orlen had initially put on hold at the end of 2024. Based on adjusted technological, operational, and business premises, the group now plans to develop new capacities for ethylene oxide, glycols, and styrene within the framework of the new "Nowa Chemia" project in Płock.

According to media reports, Orlen intends to present details of the new investment projects during the first quarter of 2026. According to previous statements from Orlen, completion of the plants planned under Nowa Chemia is expected by 2030 at the earliest.
