Orlen: Acquisition of Grupa Azoty Polyolefins Moves Forward

Polish energy and chemicals group Orlen has met further conditions for the planned full acquisition of Grupa Azoty Polyolefins (GAP). As the company recently announced when presenting its second-quarter 2026 results, all three required antitrust approvals have now been obtained. In addition, a court has approved GAP’s restructuring plan. Orlen is now awaiting final confirmation of the plan.

At the end of March 2026, Orlen signed a preliminary agreement to acquire the remaining shares in GAP. The group already holds a 17.3% stake in the company. The transaction, including financing earmarked for the restructuring, has a total value of PLN 1.35 billion. Completion has so far been targeted for the third quarter of 2026.

GAP operates the Polimery Police complex in Police for the production of propylene and polypropylene. Through the acquisition, Orlen aims to strengthen its position in the polymer and petrochemical value chain.

Orlen is also reporting progress on the “New Chemicals” petrochemicals project at its Płock site. According to the group, the revised project scope and schedule are currently being incorporated into the contracts with the companies carrying out the work. The planned olefins unit is to have an ethylene capacity of 740,000 tonnes per year. The updated investment budget amounts to PLN 35.8 billion. Construction is scheduled to be completed by the end of 2029, with full commissioning planned for 2030. In parallel, the existing Olefins II unit is to be gradually decommissioned.
